Terms & Conditions

These Terms & Conditions ("Terms") are a legal agreement between you and Alongside Labs LLC ("Alongside," "we," "us") governing your use of the Alongside app and related services (the "Service"). You agree to these Terms and to the Privacy Policy when you create an account by checking the acceptance box. That box is not checked by default. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using it, you confirm that you meet this requirement and that the information you provide is accurate. If Alongside learns that an account belongs to a person under 18, Alongside will close the account and delete the associated data.

2. What Alongside does

Alongside is an AI-assisted coaching app. It sets a personalized daily protein target, estimates meals you log (including by photo), and provides general nutrition and training coaching to help you preserve lean muscle during weight change. The Service uses AI models to generate its responses.

Alongside provides general wellness and educational information only. It is not medical advice, and it is not a substitute for professional medical care.

You are responsible for your own health decisions. You use the Service's guidance at your own discretion and risk. By using the Service, you acknowledge that you have read and understood this medical disclaimer.

You are responsible for keeping your login credentials secure and for activity under your account. Let us know promptly at support@alongsidecoach.fit if you believe your account has been compromised.

You retain ownership of the information and content you provide (including meal photos and messages). You grant Alongside a limited license to use that content solely to operate and provide the Service to you, including processing it through the service providers described in the Privacy Policy. Alongside may also create and use de-identified or aggregated data that does not identify you, and may share that data with partners, as described in the Privacy Policy. You are responsible for the content you submit and confirm you have the right to submit it. Alongside shares de-identified data only with research, analytics, and telehealth partners, in each case only where the data cannot reasonably be re-identified.

7. Our intellectual property

The Service, including its software, design, content, and the Alongside name and marks, is owned by Alongside Labs LLC and protected by law. We grant you a limited, personal, non-transferable, revocable license to use the Service for your own personal use, subject to these Terms. We reserve all rights not expressly granted.

8. Third-party services

The Service relies on third-party providers (including Anthropic, Supabase, and Vercel) to function. Alongside is not responsible for the independent acts or omissions of these providers. This does not limit Alongside's own obligations under the Privacy Policy for how your information is collected, used, and protected. Your use of the Service may also be subject to these providers' terms where they apply.

9. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any estimate, target, or recommendation will be accurate or suitable for you. Alongside does not warrant that use of the Service will produce any specific health, weight, body composition, or fitness outcome. Some jurisdictions do not allow certain warranty exclusions, so some of these may not apply to you.

10. Limitation of liability

To the maximum extent permitted by law, Alongside Labs LLC and its owners and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your use of or inability to use the Service, including any health outcome or reliance on the Service's guidance. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars ($100). Some jurisdictions do not allow these limitations, so they may not fully apply to you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or personal injury caused by Alongside. The protection of Alongside's owners and agents in this section applies only to Alongside's affiliates, officers, directors, and employees acting within the scope of their authority for Alongside.

11. Indemnification

You agree to indemnify and hold harmless Alongside Labs LLC from third-party claims, damages, and expenses arising out of your misuse of the Service or your violation of these Terms or of any law or third-party right. You are not required to indemnify Alongside for any claim to the extent it arises from Alongside's own fraud, gross negligence, willful misconduct, or violation of law.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Sections that by their nature should survive termination (including §§ 3, 6, 7, 9, 10, 11, 13, and 15) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. This choice of law does not take away the protection of any consumer law of your home state that cannot be waived by agreement.

Before starting arbitration, you and Alongside agree to try to resolve any dispute informally first. You may begin this process by emailing a notice of dispute to support@alongsidecoach.fit that includes your name, the email tied to your account, a short description of the dispute, and the specific relief you want. You and Alongside will then have 60 days from the date of that notice to try to resolve the dispute through good-faith communication. Neither side may start an arbitration during that 60-day period, except that either party may file in small claims court at any time. The 60-day period does not extend any deadline to file a claim.

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and Alongside waive the right to a jury trial and the right to take part in a class action. The arbitration will take place in the county where you live or, at your choice, by phone or video, and Alongside will pay the arbitration filing and administrative fees that are more than you would pay to file the same claim in court. Nothing in this section stops you from bringing an individual claim in small claims court, and nothing in this section waives your right to seek public injunctive relief. If the waiver of class actions is found unenforceable as to any claim, that claim will proceed in court and the rest of this section still applies. You may opt out of this arbitration provision by emailing support@alongsidecoach.fit within 30 days of first accepting these Terms.

14. Changes to these Terms

We may update these Terms as the Service evolves. If we make material changes, we will update the effective date above and, where appropriate, notify you in the app or by email. Continued use after an update means you accept the revised Terms. Alongside will provide at least 30 days notice in the app or by email before any material change takes effect, and you may stop using the Service and delete your account before the effective date if you do not agree to the revised Terms.

15. General

If any part of these Terms is found unenforceable, the rest stays in effect, and the unenforceable part will be limited or removed only to the extent needed. These Terms, together with the Privacy Policy, are the entire agreement between you and Alongside about the Service and replace any earlier agreements on this subject. You may not transfer your rights or obligations under these Terms without Alongside's consent. Alongside may transfer its rights and obligations, for example in connection with a merger, acquisition, or sale of assets, and will give you notice where required.
